HeartX provides independent, physician-developed online education and training in cardiovascular life support topics, including but not limited to Advanced Cardiovascular Life Support (ACLS), Basic Life Support (BLS), and related certification or recertification review programs. By accessing this website, enrolling in a course, purchasing any training product, taking any assessment, downloading any certificate, or otherwise using any HeartX service, you acknowledge and agree to the following terms, conditions, disclosures, and limitations.
- Independent Provider; No Affiliation or Endorsement
HeartX is an independent education platform. HeartX is not affiliated with, endorsed by, sponsored by, authorized by, or acting on behalf of the American Heart Association, the American Red Cross, or any other society, council, association, licensing authority, certifying body, hospital system, academic institution, governmental agency, or employer, unless HeartX expressly states otherwise in a separate written agreement signed by an authorized representative.
Any reference on this website to ACLS, BLS, resuscitation science, emergency cardiovascular care, international guidelines, consensus science, best practices, or similar terminology is made solely for descriptive and educational purposes. Such references do not imply affiliation, endorsement, approval, sponsorship, partnership, equivalence, or substitution by or with any third-party organization.
All third-party names, marks, course names, abbreviations, and organizational references remain the property of their respective owners. HeartX makes no claim of ownership in any third-party trademark, service mark, logo, trade dress, course brand, or proprietary designation.
- Nature of the Product; Educational Training and Certificate of Completion
HeartX provides online educational content, review materials, knowledge assessments, and certificates of completion. Unless expressly stated otherwise in a separately signed written agreement, HeartX issues a certificate of completion for successful completion of a HeartX course or assessment. HeartX does not represent that its certificate is identical to, interchangeable with, or automatically accepted in place of any certificate, card, credential, permit, license, registration, or authorization issued by any employer, agency, hospital, insurer, training center, or other third party.
Your HeartX certificate reflects successful completion of a HeartX educational program and related assessment requirements, as defined by HeartX at the time of purchase or course completion. It does not, by itself, guarantee employment eligibility, clinical privileges, hospital onboarding approval, payer enrollment, state or national licensure compliance, school acceptance, continuing education credit, or satisfaction of any employer, institutional, regulatory, or legal requirement.
- Employer and Institutional Acceptance
Acceptance of online life support training, recertification training, and course completion certificates may vary widely by employer, hospital, clinic, staffing agency, credentialing office, school, government body, state board, licensing authority, military program, travel nursing agency, or other institution. Requirements may differ by location, role, specialty, scope of practice, contract, internal policy, accreditation rule, insurer requirement, or date.
Accordingly, each user is solely responsible for verifying, before purchase and again before relying on any certificate, whether a HeartX course and certificate of completion satisfy the specific requirements of that user’s employer, institution, recruiter, staffing agency, school, licensing body, or other relevant decision-maker. HeartX strongly encourages users to confirm applicable requirements in writing whenever possible.
No statement on this website, in marketing materials, in support communications, or in course content shall be interpreted as a universal representation that all employers or institutions accept HeartX certificates.
- Refund Assurance if Certificate Is Not Accepted
HeartX stands behind the quality of its educational programs. Subject to the refund process below, if a user’s employer or institution does not accept a HeartX certificate of completion for the purpose for which the user purchased the course, HeartX will provide a 100% refund of the amount paid for that course.
To keep this policy fair, administrable, and abuse-resistant while remaining user-friendly, the following conditions apply:
the request must relate to the specific course purchased from HeartX;
the user must request the refund within the time period stated in the applicable refund policy or, if no separate period is stated, within a reasonable period after the non-acceptance becomes known;
the user must identify the employer, institution, or entity that declined acceptance;
HeartX may request reasonable supporting information sufficient to document the non-acceptance, such as an email, written policy, screenshot, recruiter communication, supervisor communication, onboarding checklist, or other comparable proof;
if the same user purchases multiple duplicative courses for the same purpose, HeartX may limit the refund to the specific course at issue;
the refund applies to the course fee actually paid to HeartX and does not include consequential losses, third-party fees, chargeback fees, exchange losses, travel costs, lost wages, licensing fees, clinical opportunity losses, attorney fees, or other indirect or collateral expenses.
Except as expressly provided in this refund assurance, all other refund rights are governed by HeartX’s posted refund policy, terms of sale, and applicable law.
- Clinical Content; Guideline-Informed but Independently Developed
HeartX course materials are independently developed and may draw upon broadly recognized resuscitation science, published consensus materials, physician expertise, educational principles, and other professional sources. References to current or recent science, international recommendations, or consensus-based practice are intended to describe the educational foundation of the material, not to claim formal adoption, endorsement, authorization, or exact replication by any third-party body.
HeartX may state that its materials are informed by current international resuscitation science or by current consensus-based principles. Such statements mean that HeartX independently reviews and adapts educational content in light of available science and guidance. They do not mean that HeartX is the official publisher of any guideline, nor do they mean that HeartX’s courses are identical to any third-party course, branded training pathway, proprietary algorithm set, or completion credential.
Because resuscitation science evolves, recommendations, algorithms, educational priorities, terminology, and accepted practices may change over time. HeartX reserves the right to update, revise, replace, remove, or expand course materials, assessments, policies, course names, descriptions, features, pricing, and certificates at any time, with or without prior notice.
- No Medical Advice; No Patient Care Relationship
HeartX content is provided for educational and informational purposes only. It is not individualized medical advice, diagnosis, treatment, or patient-specific clinical direction. Use of this website or any HeartX course does not create a physician-patient relationship, provider-patient relationship, therapist-patient relationship, nursing relationship, emergency response duty, or any other professional relationship between HeartX, its authors, contributors, reviewers, physicians, contractors, affiliates, or representatives and any user, patient, family member, bystander, or third party.
Users must exercise independent clinical judgment and comply with applicable laws, institutional policies, supervising physician requirements, local protocols, scope-of-practice rules, and emergency procedures. In an actual emergency, users should activate local emergency response systems and follow applicable clinical, legal, and institutional requirements.
- No Guarantee of Clinical Outcomes or Professional Results
HeartX does not warrant or guarantee any specific clinical outcome, exam result, skill level, employment result, credentialing approval, hospital privileging outcome, visa benefit, legal compliance result, insurance reimbursement result, academic outcome, or professional advancement. Completion of a HeartX course does not guarantee that a user will perform successfully in a real emergency, pass a third-party examination, satisfy a job prerequisite, or obtain any credential, contract, privilege, or appointment.
Individual results depend on many factors outside HeartX’s control, including prior experience, clinical background, training quality, local protocols, language proficiency, technology access, institutional requirements, and user performance.
- User Responsibility; Appropriate Use
By using HeartX, the user represents that the user will:
provide accurate registration and payment information;
review all applicable course descriptions before purchase;
confirm relevant employer or institutional requirements before relying on a HeartX certificate;
use the materials only for lawful and legitimate educational purposes;
avoid misrepresenting a HeartX certificate as a government-issued, employer-issued, society-issued, or third-party-accredited credential where it is not;
avoid altering, falsifying, forging, selling, sublicensing, or fraudulently using any certificate, transcript, receipt, exam result, badge, logo, or document generated by HeartX.
HeartX reserves the right to suspend access, revoke certificates, deny refunds in cases of fraud or abuse, cancel accounts, or take other appropriate action if it reasonably suspects misuse, misrepresentation, chargeback abuse, credential fraud, account sharing, unauthorized copying, or unlawful conduct.
- Exams, Assessments, Retakes, and Platform Operation
HeartX may offer quizzes, exams, scoring thresholds, retake permissions, downloadable certificates, login access, course progress tracking, and related educational features. HeartX may modify any of these features at any time. While HeartX aims to provide a stable and accessible online experience, HeartX does not guarantee uninterrupted platform availability, error-free operation, perpetual storage, specific browser performance, or continuous access without maintenance, outages, cyber events, software bugs, device incompatibility, payment interruptions, or third-party service failures.
Users are responsible for maintaining their own copies of certificates, receipts, and any permitted downloads.
- Professional Licensure, Continuing Education, and Regulatory Compliance
Unless HeartX expressly states otherwise in clear written language on the specific course page, HeartX does not represent that a course provides continuing medical education credit, continuing nursing education credit, state-mandated credit, board credit, formal licensure credit, mandatory employer credit, or any other regulated continuing education benefit. Users are solely responsible for determining whether any HeartX course is recognized for their intended professional, academic, licensing, or compliance purpose.
- Intellectual Property; Limited License
All website content, course text, videos, graphics, layouts, assessment materials, branding, design elements, downloadable files, and related materials created by or for HeartX are protected by applicable intellectual property laws. Purchase of a course grants the user a limited, personal, non-exclusive, non-transferable, revocable license to access the purchased content for individual educational use only, subject to HeartX’s terms.
Users may not reproduce, copy, republish, scrape, record, distribute, modify, translate, create derivative works from, resell, transmit, publicly display, or commercially exploit HeartX materials without prior written permission.
- Disclaimer of Warranties
To the fullest extent permitted by law, HeartX and its owners, physicians, contributors, affiliates, contractors, licensors, service providers, and representatives provide the website, courses, content, exams, certificates, and related services on an “as is,” “as available,” and “with all faults” basis, without warranties of any kind, whether express, implied, statutory, or otherwise.
Without limiting the foregoing, HeartX disclaims all warranties of merchantability, fitness for a particular purpose, title, non-infringement, compatibility, availability, accuracy, completeness, currentness, uninterrupted access, error-free operation, security, results, acceptance by third parties, or suitability for any employer, institution, licensure pathway, or clinical use case.
- Limitation of Liability
To the fullest extent permitted by law, HeartX and its owners, officers, directors, physicians, authors, reviewers, contractors, affiliates, service providers, and representatives shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, punitive, or other damages arising out of or related to:
use of or inability to use the website or courses;
course completion or non-completion;
certificate issuance, delay, download failure, or non-acceptance;
reliance on educational content;
clinical decisions or patient care outcomes;
employment, licensing, privileging, credentialing, or academic decisions;
technology failures, payment failures, data loss, cyber incidents, downtime, or third-party platform errors;
refunds, disputes, chargebacks, or misunderstandings regarding acceptance requirements.
If, notwithstanding the foregoing, HeartX is found liable for any claim arising from a user’s purchase or use of a HeartX course or service, HeartX’s aggregate liability shall not exceed the amount actually paid by that user to HeartX for the specific course or service giving rise to the claim, except to the extent a greater remedy is required by non-waivable law.
- Indemnification
The user agrees to defend, indemnify, and hold harmless HeartX and its owners, affiliates, physicians, contractors, licensors, and representatives from and against any claims, demands, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to the user’s misuse of the website, violation of these terms, misrepresentation of certificates, unlawful conduct, infringement of rights, fraudulent activity, or reliance by any third party on the user’s representations regarding HeartX training or certification.
- Severability; Interpretation; Reservation of Rights
If any provision of this disclaimer is determined to be unlawful, invalid, or unenforceable, the remaining provisions shall remain in full force and effect to the maximum extent permitted by law. Any failure by HeartX to enforce any provision shall not constitute a waiver. HeartX reserves all rights not expressly granted.
- Updates to This Disclaimer
HeartX may revise this disclaimer at any time by posting an updated version on the website. The version in effect at the time of website use or course purchase will generally govern that use or purchase, unless applicable law requires otherwise. Continued use of the website or services after an update constitutes acceptance of the revised terms to the extent permitted by law.

18 Governing Law; Venue; Jurisdiction
These Terms, and any dispute, claim, or controversy arising out of or relating to the HeartX website, courses, services, certificates, transactions, or any use thereof (including, without limitation, contract, tort, statutory, or equitable claims), shall be governed by and construed in accordance with the laws of the State of Texas, United States of America, without regard to its conflict-of-law principles.
To the fullest extent permitted by applicable law, you agree that any legal action or proceeding arising out of or relating to your use of HeartX, any course or certification, any transaction, or these Terms shall be brought exclusively in the state or federal courts located within the State of Texas, and you hereby consent to the personal jurisdiction and venue of such courts.
You further agree to waive any objection to such jurisdiction or venue, including any claim that such forum is inconvenient or improper, to the extent permitted by law.
Notwithstanding the foregoing, HeartX reserves the right to seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property, confidential information, or other proprietary rights.
19 Waiver of Jury Trial; Class Action Waiver
To the fullest extent permitted by applicable law, you and HeartX agree to waive any right to a trial by jury in any action or proceeding arising out of or relating to these Terms or the use of HeartX services.
You further agree that any claims shall be brought solely in your individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding.
Any dispute, claim, or controversy arising out of or relating to these Terms or the use of HeartX services shall be resolved by binding arbitration in the State of Texas, administered by a recognized arbitration body, in accordance with its applicable rules. Judgment on the award may be entered in any court having jurisdiction.
